Retail & Business Leases

Clear Legal Advice for Landlords and Tenants

What is a Commercial or Retail Lease?

A commercial lease sets out the terms under which a tenant can occupy and use a property for business purposes. If the premises are used for retail activity, the lease may also be subject to the Retail Leases Act 1994 (NSW), which adds important protections and obligations for both parties.

We act for both landlords and tenants across all types of business leases. From shops and cafes to offices, warehouses, and industrial sites. We’ll help you understand your rights, minimise risks, and ensure your lease is tailored to your business needs or investment goals.

We draft and review lease agreements to ensure they reflect the negotiated terms and comply with relevant legislation. This includes reviewing rent terms, outgoings, maintenance obligations, permitted use clauses, and any personal guarantees. If you're a tenant, we’ll explain what you're committing to before you sign. If you're a landlord, we’ll make sure your interests are properly protected.

Retail leases in NSW require specific disclosure documents to be exchanged before signing. Landlords must provide a Lessor’s Disclosure Statement outlining key terms, outgoings, and fit-out responsibilities. We’ll assist with preparing or reviewing these documents to ensure compliance with the Retail Leases Act and to avoid delays or disputes.

Lease terms are negotiable and often need to be. Whether it’s rent-free periods, early termination rights, or exclusivity clauses, we’ll help you negotiate terms that align with your goals. We can also assist with lease variations, extensions, renewals, and assignments of lease as your business or property evolves.

When it comes time to end a lease, whether by expiry, early termination or breach, we can advise you on your options and legal obligations. We also assist with resolving leasing disputes relating to rent arrears, maintenance, make-good clauses, or unlawful termination.
